1. Acceptance of Terms
By accessing or using the Agent IA Vocal platform (hereinafter "the Platform"), you agree to be bound by these Terms of Service. If you are using the service on behalf of a business, you represent that you have authority to bind that business to these Terms. If you do not agree to these terms, please do not use the Platform. Continued use of the Platform after the posting of changes constitutes your acceptance of such changes.
2. Service Description
Agent IA Vocal is an intelligent voice communication platform that provides automated voice agents powered by artificial intelligence. Our services include:
- ●Provision of AI voice agents capable of answering inbound and outbound telephone calls.
- ●Automated appointment booking and lead qualification.
- ●Recording and transcription of telephone conversations.
- ●A management dashboard with statistics, call history, and agent configuration.
- ●Integrations with leading CRM, calendar, and business tools.
3. Registration and Account
To access the Platform, you must create an account. You agree to:
- ●Provide accurate, complete, and up-to-date information during registration.
- ●Maintain the confidentiality of your login credentials.
- ●Immediately notify us of any unauthorised use of your account.
- ●Be responsible for all activities carried out under your account.
4. Subscriptions and Payments
Access to services requires a paid monthly subscription. Payment terms are as follows:
- ●All prices are in US Dollars (USD) and billed monthly.
- ●A one-time setup fee may apply depending on your plan.
- ●Payments are processed by Stripe, a secure third-party payment provider.
- ●Subscriptions are automatically renewed each month unless cancelled by you.
- ●You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
- ●No refunds are granted for partial months or setup fees. Prices may change with 30 days' notice.
- ●If payment fails, we will attempt to collect for 7 days before suspending service.
5. Acceptable Use
You agree to use the Platform in compliance with the law and these terms. It is prohibited to:
- ●Use the Platform for illegal, fraudulent, or harmful purposes.
- ●Send unsolicited automated calls or engage in telephone harassment.
- ●Violate the Privacy and Electronic Communications Regulations (PECR), the UK GDPR, or any other applicable UK or international law.
- ●Attempt to circumvent, disable, or compromise the Platform's security measures.
- ●Use the Platform to collect personal information without the consent of the individuals concerned.
- ●Resell, sublicense, or redistribute access to the Platform without our written authorisation.
- ●Impersonate any person or organisation.
6. PECR and Telephone Compliance
You are solely responsible for ensuring your use of outbound calling features complies with the Privacy and Electronic Communications Regulations (PECR), the Telephone Preference Service (TPS), and all applicable Ofcom guidelines. You must obtain appropriate consent before initiating automated calls to consumers. Agent IA Vocal provides tools to help manage consent (do-not-call lists, opt-out handling) but does not accept liability for your compliance failures.
7. UK GDPR and Data Processing
Where Agent IA Vocal processes personal data on your behalf, it does so as a data processor acting on your instructions as data controller. A Data Processing Agreement (DPA) is available on request and is required under UK GDPR Article 28 where applicable. You remain responsible for ensuring you have a lawful basis for any personal data processing you instruct us to carry out.
8. Intellectual Property
All content on the Platform, including software, source code, interfaces, text, graphics, logos, and trademarks, is the property of Agent IA Vocal or its licensors and is protected by applicable intellectual property laws including UK copyright law. No intellectual property rights are transferred to you through use of the Platform.
9. Data and Privacy
You retain ownership of your call data. You grant Agent IA Vocal a limited licence to process this data to provide the service. The collection and use of your personal information is governed by our Privacy Policy, which forms an integral part of these terms. By using the Platform, you acknowledge that you have read and accepted our Privacy Policy.
10. Call Recordings
You acknowledge and agree that calls handled by your AI voice agent may be recorded and transcribed. You are responsible for:
- ●Ensuring that call recording complies with applicable UK law, including the Regulation of Investigatory Powers Act 2000 (RIPA) and the Lawful Business Practice Regulations.
- ●Informing callers that the conversation may be recorded (the voice agent does this automatically).
- ●Using recordings and transcripts only for legitimate purposes related to your business.
11. Service Availability
We strive to maintain the Platform available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted operation. Interruptions may occur for maintenance, updates, or circumstances beyond our control. We shall not be liable for any losses resulting from temporary service unavailability.
12. Limitation of Liability
To the fullest extent permitted by applicable English law, Agent IA Vocal and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, profits, data, or business opportunities, arising from the use of or inability to use the Platform. Our total liability shall in no event exceed the amount you have paid for the service during the 12 months preceding the claim. Nothing in these terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Agent IA Vocal and its affiliates from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Platform, your violation of any applicable law, or your breach of these terms.
14. Termination
We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without cause, including in the event of a breach of these terms. Upon termination, your right to use the Platform ceases immediately. Your account data will be retained in accordance with our Privacy Policy.
15. Governing Law and Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of England and Wales. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. We will always endeavour to resolve any dispute amicably in the first instance.
16. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Material changes will be notified to you at least 30 days in advance by email. Changes will take effect upon the date specified in the notification. It is your responsibility to review these terms regularly.
